Short Terms & Conditions - Pacific World Marketing Tools & Use of Images

This website is owned and managed by the Pacific World Network and operated on its behalf by Pacific World Singapore Pte Ltd (hereinafter referred to as “Pacific World”), a legally constituted Singaporean company based at 73, Bukit Timah Road, #03-01, Rex House, Singapore 229832, with travel agent license number 632 and Business Registration Number 198900025K.

All images and marketing tools are supplied to you by Pacific World. The information, images and marketing tools contained within this website or those supplied to you by Pacific World personnel during the quotation process or during a site inspection are conditional on accepting Pacific World’s General Terms and Conditions and the legal statement and privacy policy (the “Terms and Conditions”) located in this website.

The information, images and marketing tools are exclusively available to Pacific World’s customers in the conference and incentive industry globally, with the potential for business for our offices, be they intermediary event management agencies or corporate end users.

Clients will be extended the right of access to the information, images and marketing tools to support company proposals to customers with the understanding that should the destination be selected, Pacific World will be appointed exclusively as the DMC for the programme when it operates. Images cannot be used to promote any services of other organisations that compete with Pacific World.

Access to the secure areas of this website and the image gallery will go through an approval process prior to being authorized. Pacific World is committed to a 24 hour approval process with the exception of weekends and public holidays, based on Singapore time, which is +8 hours ahead of GMT.

Applications from personal email addresses (yahoo, hotmail, gmail, etc.) cannot be accepted, therefore please ensure you apply using your company email address, and supply us with sufficient information to support your request, to ensure that your application is processed without delay.

The information, marketing tools and images contained in this website are protected under copyright and other laws of Singapore, and under international conventions, and similar laws abroad. Unless otherwise stated, copyright, and other intellectual property rights relating to the information, marketing tools and images, is owned or controlled by Pacific World. Information, marketing tools and images may not be altered or modified in any way including removal of watermarked copyright on the picture.

Pacific World reserves the right to amend these terms and conditions and to vary these provisions at its own discretion. Rights to information, marketing tools and images are non-exclusive and non-transferable.

To the fullest extent permitted by law, Pacific World disclaims all responsibly for any damages or losses (including, without limitation, financial loss, damages or loss of business, loss of profits or savings, direct and indirect or consequential losses) arising in contract, tort (including negligence) or otherwise from the use of, or inability to use the images or from any action or decision taken as a result of using the images.

Access to the secure areas of the Pacific World Website and downloading of marketing tools and images is subject to approval of your application by Pacific World, in addition to your agreement to the terms and conditions. By agreeing to the short terms and conditions, you are agreeing to the Full Terms & Conditions as outlined below.

The images are exclusively available to Pacific World’s clients in the conference and incentive industry globally (herein after referred to as “You”), be they intermediary event management agencies or corporate end users. Therefore, Pacific World’s images are available for your use for the sole purpose of promoting Pacific World’s destinations and destination services.

IN CONSIDERATION of your acceptance of the provisions of these terms, Pacific World hereby grants you a personal, non-transferrable, non-exclusive, limited right to use such images subject to the following terms and conditions:
I. USE OF THE IMAGES
a)
Authorized Use:
All images are supplied to you by Pacific World companies. These terms and conditions cover the use of images contained within this image gallery or those supplied to you by Pacific World personnel during the quotation process or during a site inspection. Pacific World reserves the right to amend these terms and conditions and to vary these provisions at its own discretion.
 
You are being extended this right of use to support your company’s proposals to customers with the understanding that should the destination be selected, Pacific World will be appointed exclusively as the DMC for the programme when it operates. Images cannot be used to promote any services of other organisations that compete with Pacific World. Upon approval of your application by Pacific World, you will be extended a license to use the images, in accordance with terms and conditions related to non-commercial and commercial use as outlined below. In addition, images can only be used:
 
i. In proposals to Clients in Presentation or Document Format.
ii. In Internal Presentations for Staff Training Purposes.
iii. With Minimal Manipulation of the Images as Follows:
   
A. Enlarging or reducing an image size
B. Straight-line cropping
C. Lightening or darkening an image
D. Lightening or darkening an area of an image
E. Adjusting contrast or color to accommodate technologies and medium
b) Non Authorized Use:
 
i.
The images may not be copied, distributed or used other than as set forth above. Under no circumstances shall the images be used for pornographic, libellous, defamatory or any other improper or illegal purposes.
ii.
Images cannot be used to promote any services that compete with those of Pacific World, be they those of a competitor of Pacific World or of the direct services of your own company.
iii.
The user has no right to use the photographic images relating to any identifiable persons, goods or entities in any way likely to bring the image of such persons, goods or entities into disrepute, in particular by conferring upon them anything of a scandalous, obscene, immoral or similar nature, or which might suggest any link or association with any product, service or concept, by giving them a polemical, unfair, parasitical or defamatory nature.
iv. Not Allowed Image Manipulations:
   
A. All activities not explicitly allowed, including
B. Transferring information from one photo to another
C. Transferring information from one part of a photo to another part of the photo
D. Adding elements to the photograph
c) Non-Commercial Use:
  i.
Pacific World has arranged with the contributing photographers/ institutions/ organizations to allow their images to be used for non-commercial purposes, including personal and educational uses. By definition, non-commercial use refers to any use that does not generate income or is not used to promote the generation of income. This usage includes:
   
A. Educational or research use
B. Personal use either digitally or printed, including computer screensavers and wallpaper
C. Personal posters or personal prints
D. Use in a presentation (digital or print)
E. Use in publications that are not sold, and are distributed to a limited audience (less than 2,000 copies per publication)
F.
Use on a personal/educational website that does not charge for access, is not password secured, and does not use advertising
G. Use in software that has a limited distribution, is educational in nature, and not profit-generating
  ii.
Most of the images are available in high resolution format on the website, and are perfect for presentations and most typical non-commercial uses via the website.
d) Commercial Use:
  i.
Many images in the Pacific World website are available for commercial applications however written permission must be received from Pacific World in advance and fees could apply. Pacific World works with photographers on a case-by-case basis to establish appropriate permissions for use and any fees that may be charged. Please email pwgallery@pacificworld.com.
  ii.
By definition, commercial use pertains to any use that is connected with or engaged in commerce or commercial enterprises. This includes all uses not explicitly listed as non-commercial, including:
   
A. Works that are intended for a mass audience or market
B. Works having profit
C. Works sponsored by an advertiser or supported by advertising
D.
For-profit publications (published or electronic) *This includes textbooks,  trade-books, reference books, supplemental course readers, and curriculum   materials for universities
E. Motion pictures, commercial television and video productions
F. Paid or requested magazines
G. Printed or televised advertisements
H.
Large-format art books and facsimile editions printed primarily in full color and for international distribution
I. Any works published in press runs of more than 2,000 copies
J. Calendars, posters, museum reproductions, postcards, and note cards
K. Websites that generate revenue and/or advertise products or services
L.  Any other items made available to a relatively wide audience
  iii.
Commercial users are required to submit a description of the intended use of the image(s), along with the name/s of the image/s, to pwgallery@pacificworld.com.
e) Model Permissions:
  i.
If a recognizable person appears in an image, use for commercial purposes may infringe a right of privacy or publicity and permission shall be separately obtained from the recognizable person by the photographer. Pacific World does not provide a model release for this purpose.
  ii.
Unless we indicate that an image has a model or property release, no such release exists. Pacific World gives no representations or warranties with respect to the use of names, trademarks, logos, uniforms, registered or copyrighted designs or works of art depicted in any image, and you must satisfy yourself that all necessary rights, consents or permissions as may be required for reproduction are secured.
f) Credit Lines:
  i.
Copyright notice by the Author of the image shall be given on all uses of Pacific World images. If an author is not given, but an organization or agency is credited for the image, copyright shall be given to the organization. Where images have been provided by a third party, this has been indicated and the images must be credited accordingly.
  ii.
Please note: If a photographer or organization's name is listed above the credit line on the website, please be sure to include his/ her/ its name along with the credit line.
g) Ownership:
  i.
All rights to the image(s) are owned by Pacific World and/or its suppliers or partners and are protected by national copyright laws, international treaties and other applicable  laws.
  ii.
Pacific World retains any and all rights, titles and interests not expressly granted by this license agreement. You may not transfer, assign or sublicense the image(s) without the prior written consent of Pacific World. Any attempt to transfer or assign this license without prior written consent to do so shall automatically terminate this license.
  iii.
You acknowledge and agree that any element and intellectual property rights pertaining thereto (including without limitation all copyrights, patents, trademarks, service mark, etc.) in Pacific World website (including without limitation its terms and conditions, rules, policies and operating procedures, and Images), received or acceded are the exclusive property of Pacific World or its suppliers.
  iv.
You acknowledge and agree that, except hereby stated, you shall not acquire any right or interest in the information or data acceded and that Pacific World or its Suppliers shall remain the sole owner of the information or data including, but not limited to, all patent, copyright, trademark, trade secret, trade name, contract, industrial design, and other property rights pertaining thereto, anywhere in the world.
  v.
All trademarks, copyright, database rights and other intellectual property rights in the materials on this website (as well as the organization and layout of this website) together with the underlying software code are owned by Pacific World or its suppliers. You and any user may not copy, modify, alter, publish, broadcast, distribute, sell or transfer any material on this website or the underlying software code whether in whole or in part without Pacific World’s prior written permission.
h) Acknowledgement & Agreement of Terms & Conditions:
You acknowledge and agree:
i.
That, except hereby agreed, you shall not acquire any other right or interest in the images.
ii.
That images directly or indirectly received or acceded are the exclusive property of Pacific World, its subsidiaries, affiliates or Suppliers, who shall remain the sole owners.
iii.
In the event that there is any misuse of any Intellectual Property owned by Pacific World (including without limitation all trademarks, service marks, etc.) without Pacific World’s consent or license; Pacific World reserves its right to take any legal action pursuant the protection of its legitimate interest.
iv.
You (whether or not this Agreement has been terminated) shall at all times save harmless and keep fully indemnified Pacific World from and against any actions, claims, proceedings, losses, costs, expenses and demands (including costs and expenses in defending such matters and its proper compromise) arising directly or indirectly out of or incidental to or in connection with any breach by you or on your behalf of any of the provisions of these Terms and Conditions.
v.
You acknowledges and agrees that the sole disclosure of or access to the information or data available in this website does not constitute an offer by Pacific World for the sale, license or other transfer of such elements.
i) User Warranties:
 i. You warrant that you will take all necessary steps to prohibit and prevent duplication or further distribution of the image(s).

DISCLAIMER
Pacific World makes no other warranties, express or implied, and specifically hereby expressly disclaims any and all other warranties, including without limitation, any implied warranties of merchantability, non-infringement or fitness for a particular purpose.

In no event shall Pacific World (and/or subsidiaries and/or affiliates) be liable for any direct, indirect, special, punitive, exemplary or consequential losses or damages of whatsoever kind arising out of access to, the use of this website or any information contained in it or the inability to access said website, including loss of profit and the like.

All images and the information, services and materials contained herein are provided ”as is” and ”as available” without warranty of any kind. Therefore, to the fullest extent permitted by law, Pacific World disclaims all responsibly for any damages or losses (including, without limitation, financial loss, damages or loss of business, loss of profits or savings, direct and indirect or consequential losses) arising in contract, tort (including, negligence) or otherwise from the use of, or inability to use the images or from any action or decision taken as a result of using the images.

TERMINATION
This agreement shall immediately terminate upon violation of any of its provisions. Upon termination you must immediately stop using the image(s), delete all copies of such image(s) from your computer and all magnetic media.

Your acceptance of any image(s) constitutes your consent to and acceptance of the foregoing image license. By downloading images from this website you agree to the above terms.
